1. Acceptance of Terms
Welcome to SommScope. These Terms of Service (“Terms”) govern your access to and use of the SommScope platform, including the SommScope mobile application, website, analytics dashboard, and all related services (collectively, the “Service”). The Service is provided by Distillery University LLC, doing business as SommScope (“SommScope,” “we,” “us,” or “our”).
By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.
If you are using the Service on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and “you” refers to both you individually and the entity you represent.
2. Description of the Service
SommScope is a business-to-business software platform designed for professional wine trade tasting events. The Service enables wine distributors to host and manage tasting events digitally, and enables professional wine buyers—including sommeliers, wine directors, restaurant owners, and retail purchasers—to evaluate, score, and record tasting notes on wines presented at those events.
Key features of the Service include, but are not limited to: event creation and management; structured wine evaluation with scoring, tasting notes, and structural analysis; voice-to-text transcription of tasting notes; shortlisting, sample requests, and quote requests; buyer’s report generation; and an analytics dashboard for event organizers.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify users in advance of material changes.
3. User Accounts and Registration
3.1 Account Creation
To access the Service, you must create an account by providing accurate and complete registration information, including a valid email address and a secure password, or by authenticating through a supported third-party provider such as Apple Sign-In or Google Sign-In. You agree to keep your account information current and accurate.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.
3.3 User Roles
The Service operates with distinct user roles that determine your level of access and capabilities:
Attendee (Buyer):The default role for new users. Attendees may join events, browse wineries and wines, record tasting logs, shortlist wines, request samples and quotes, and generate personal buyer’s reports.
Distributor:Event organizers who manage trade tastings. Distributors have all Attendee capabilities and may additionally create and manage events, generate access codes and QR codes, view analytics dashboards, and access buyer reports for their events. Distributor status may require administrator approval.
Administrator:System administrators with full platform management capabilities, including user role management and role upgrade approvals.
Users may request a role upgrade from Attendee to Distributor. Such requests are subject to review and approval at our sole discretion.
3.4 Age Requirement
The Service is intended for use by individuals who are at least 21 years of age, consistent with the legal drinking age in the United States, or the applicable legal age for alcohol-related commercial activity in your jurisdiction. By using the Service, you represent and warrant that you meet this age requirement.
4. Acceptable Use
You agree to use the Service only for its intended professional purposes related to wine trade tasting events. You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation;
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
- Attempt to gain unauthorized access to any portion of the Service, other user accounts, or any systems or networks connected to the Service;
- Interfere with or disrupt the integrity or performance of the Service or the data contained therein;
- Scrape, harvest, or collect information about other users without their consent;
- Use the Service to distribute unsolicited commercial messages or spam;
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service;
- Use any automated system, including bots, crawlers, or scrapers, to access the Service for any purpose without our express written permission.
5. Subscription Plans and Payment
5.1 Service Tiers
The Service is offered under multiple tiers. The Attendee (Buyer) experience is provided free of charge. Distributor accounts are subject to per-event pricing or subscription bundles as described on our website or within the Service. Current pricing tiers, features, and bundle options are detailed on our pricing page and may be updated from time to time.
5.2 Payment Terms
If you purchase a paid plan, you agree to pay all applicable fees as described at the time of purchase. All fees are quoted in U.S. dollars unless otherwise specified. Payment is due at the time of purchase, and you authorize us to charge your designated payment method for the applicable fees.
5.3 Event Credits and Bundles
Event credits purchased as part of a bundle must be used within the validity period specified at the time of purchase. Unused credits expire at the end of the stated validity period and are non-refundable. Credits are non-transferable between accounts.
5.4 Refund Policy
All fees paid for the Service are final and non-refundable. This includes, without limitation, per-event purchases. bundle purchases, and any unused event credits, regardless of whether the credits have expired or remain active. By completing a purchase, you acknowledge and agree that no refunds will be issued under any circumstances.
5.5 Promotional Offers
From time to time, we may offer promotional pricing, trial periods, or complimentary event credits. Such promotions are subject to additional terms communicated at the time of the offer and may be modified or discontinued at any time.
5.6 Price Changes
We reserve the right to change our pricing at any time. Any price changes will apply to new purchases made after the effective date of the change. Existing prepaid credits or active event subscriptions will not be affected by price increases during their validity period.
6. Data Collection, Use, and Privacy
6.1 Data We Collect
In connection with your use of the Service, we collect and process various categories of data, including: account registration information (such as name, email address, and role); optional demographic information (such as organization, professional position, years of experience, and age range) when voluntarily provided; tasting data (scores, notes, structural analysis, flavor tags, and voice note transcriptions); behavioral and engagement data (such as dwell time, revisit patterns, tasting velocity, and interaction sequences); and device and usage data (such as session information and connectivity status).
6.2 How We Use Data
We use the data we collect to provide and improve the Service, including generating analytics and insights for event organizers, identifying market trends and emerging patterns in wine preferences, and enhancing the user experience. Detailed information about our data practices is provided in our Privacy Policy.
6.3 Demographic Data
Certain demographic information may be requested during events at the discretion of the event organizer (Distributor). Providing this information is entirely optional and will not affect your ability to use the core tasting features of the Service. When demographic data is used in analytics, it is presented only in aggregate form and is subject to minimum respondent thresholds to protect individual privacy.
6.4 Behavioral Data
The Service passively collects behavioral and engagement data during tasting events to power analytics features for event organizers. This data is collected automatically as you interact with the Service and is used to generate insights such as engagement metrics, comparison patterns, and interest signals. Behavioral data is processed in aggregate and is not sold to third parties in individually identifiable form.
6.5 Analytics and Reporting
Distributors and event organizers who purchase applicable analytics features may access aggregated and event-level reports derived from Attendee tasting activity and behavioral data collected during their events. By participating in an event, Attendees acknowledge that their tasting data and behavioral interactions may be included in analytics reports provided to the event organizer.
6.6 Privacy Policy
Our collection, use, storage, and disclosure of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.
7. Intellectual Property
7.1 Our Intellectual Property
The Service, including its design, features, functionality, software, text, graphics, logos, and all related intellectual property, is owned by SommScope and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.
7.2 Your Content
You retain ownership of the content you create through the Service, including your tasting notes, scores, voice recordings, and other user-generated content (“Your Content”). By submitting Your Content to the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, process, and display Your Content as necessary to provide the Service, generate analytics, and improve our platform. This license continues for as long as Your Content is stored on our systems.
7.3 Aggregated Data
We may create aggregated, de-identified, or anonymized data derived from Your Content and your use of the Service (“Aggregated Data”). Aggregated Data is not considered Your Content and may be used by us for any lawful business purpose, including industry analysis, benchmarking, and product development, without restriction or obligation to you.
7.4 Feedback
If you provide us with feedback, suggestions, or ideas regarding the Service (“Feedback”), you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use and incorporate such Feedback into the Service without any obligation or compensation to you.
8. Voice Notes and AI Transcription
The Service offers voice-to-text transcription of tasting notes using artificial intelligence technology. By recording voice notes through the Service, you acknowledge and agree that:
- Your voice recordings will be transmitted to third-party AI services for transcription processing;
- Transcriptions are generated by automated systems and may contain errors or inaccuracies;
- You are responsible for reviewing and editing transcribed content for accuracy;
- Voice recordings may be temporarily stored on your device for offline synchronization and will be transmitted to the transcription service when connectivity is restored.
9. Third-Party Services and Integrations
The Service may integrate with or contain links to third-party services, including but not limited to authentication providers (Apple, Google), AI transcription services, deep linking platforms, and email clients. Your use of such third-party services is subject to their respective terms and privacy policies. We are not responsible for the content, privacy practices, or availability of any third-party services.
10. Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant the accuracy, reliability, or completeness of any content provided through the Service, including AI-generated transcriptions and analytics reports.
SommScope does not provide wine recommendations, purchasing advice, or professional sommelier guidance. All tasting scores, notes, and analytics are user-generated or algorithmically derived and should not be construed as professional advice.
SommScope is a technology platform that facilitates wine trade events. We do not sell, distribute, or ship alcoholic beverages, and we are not a party to any transactions between Distributors and Buyers.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOMMSCOPE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
12. Indemnification
You agree to indemnify, defend, and hold harmless SommScope and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) Your Content.
13. Termination
13.1 Termination by You
You may terminate your account at any time by contacting us at the email address provided below. Upon termination, your right to access the Service will cease immediately.
13.2 Termination by Us
We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including but not limited to cases where we reasonably believe you have violated these Terms. We may also terminate or suspend the Service entirely at our discretion.
13.3 Effect of Termination
Upon termination of your account: (a) all rights granted to you under these Terms will immediately cease; (b) you must cease all use of the Service; (c) any prepaid but unused event credits that have not yet expired will be forfeited unless otherwise required by applicable law; and (d) we may, but are not obligated to, delete Your Content and account data in accordance with our data retention policies and applicable law.
The following sections shall survive termination: Sections 6 (Data Collection, Use, and Privacy), 7 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 15 (Governing Law and Dispute Resolution).
14. Modifications to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by posting the updated Terms on our website and updating the “Effective Date” at the top of this page. We may also provide additional notice through the Service or via email at our discretion.
Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Service and terminate your account.
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions.
15.2 Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration administered in accordance with the rules of the American Arbitration Association, with arbitration to take place in Spokane County, Washington.
15.3 Class Action Waiver
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SOMMSCOPE EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR OTHER REPRESENTATIVE PROCEEDING. ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS.
16. General Provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and SommScope regarding the Service and supersede all prior agreements and understandings, whether written or oral.
16.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
16.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
16.4 Assignment
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
16.5 Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemic, war, terrorism, power failures, internet disruptions, or labor disputes.
